These Terms of Service ("Terms") govern your access to and use of the PrepScore website, applications, and services (the "Service"), operated by PrepScore ("PrepScore," "we," "us," or "our"). Please read them carefully. (Draft — subject to revision.)
1. Acceptance of terms
By accessing or using the Service, or by creating an account, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the service
PrepScore provides online exam preparation, including practice questions, explanations, study tools, and related educational materials for U.S. professional and admissions exams. The Service is an independent study aid. It is not the exam itself, is not affiliated with any exam provider or regulator, and does not register you for any exam. We may add, change, or remove features at any time.
3. Accounts
- Registration. Some features require you to create an account. You agree to provide accurate, current information and to keep it up to date.
- Eligibility. You must be able to form a binding contract to use the Service. The Service is intended for users who meet the minimum age required by applicable law.
- Account security. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
- One person per account. Accounts are for individual use and may not be shared, sold, or transferred without our written consent.
4. Subscriptions & billing
- Subscription access. Paid access is sold as a time-limited subscription (for example, a 30-, 90-, or 180-day access period). Your access ends when the period expires unless renewed.
- Renewal. Where a subscription is set to renew, it may renew automatically at the then-current price until you cancel. We will make reasonable efforts to disclose renewal terms at the point of purchase.
- Pricing changes. Prices are subject to change. Any change will apply to future purchases or renewals, not to an access period you have already paid for.
- Taxes. Prices may exclude applicable taxes, which you are responsible for where required.

- Exam fees are separate. Any fees charged by an exam provider or regulator (for example, a registration fee paid directly to that body) are not part of your PrepScore subscription and are not collected by us.
5. Acceptable use
You agree not to misuse the Service. Among other things, you may not:
- copy, scrape, redistribute, resell, or create derivative works from our content except as expressly permitted;
- share account access, or use the Service to operate a competing prep or question bank;
- attempt to gain unauthorized access to the Service, interfere with its operation, or circumvent security or usage limits;
- upload unlawful, infringing, or harmful content, or use the Service to violate any law or third-party right;
- use automated means to access the Service in a manner that burdens our systems, except for permitted public search indexing.
6. Intellectual property
The Service and its content — including questions, explanations, text, software, design, and the PrepScore name and logos — are owned by PrepScore or its licensors and are protected by intellectual property laws. We grant you a limited, personal, non-transferable, non-exclusive license to access and use the content for your own exam preparation during your access period. All rights not expressly granted are reserved. Third-party names and marks are the property of their respective owners.
7. Disclaimers
- Educational use only. The Service is provided for general educational purposes. It does not constitute legal, financial, tax, investment, career, or professional advice.
- No guarantee of results. We do not guarantee that you will pass any exam, achieve any particular score, obtain any license or registration, or secure any job or employment outcome. Results depend on many factors outside our control.
- Third-party exams and trademarks. Exam names, including SIE and FINRA are trademarks or registered trademarks of the Financial Industry Regulatory Authority (FINRA); other exam names are trademarks of their respective owners. PrepScore is an independent prep provider and is not affiliated with, sponsored by, or endorsed by FINRA or any other exam provider or regulator. Always confirm current exam details with the official source, such as finra.org.
- "As is." The Service and all content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that content is error-free, complete, current, or that the Service will be uninterrupted or secure.
- automated content. Some explanations and materials are produced or assisted by automated systems and may contain inaccuracies. Verify important information against authoritative sources.
8. Limitation of liability
To the maximum extent permitted by law, PrepScore and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service. To the extent liability cannot be excluded, our total aggregate liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the period giving rise to the claim.
